Cancellation policy

1. OVERVIEW

This Subscription Policy ("Policy") governs the terms and conditions for subscription products sold by UPAIRY LIMITED ("we," "us," or "our"), a New Zealand registered company. This Policy applies in addition to our Terms of Service, Privacy Policy, and Return & Refund Policy.

By purchasing a subscription product or any product that includes a free trial that converts to a subscription, you agree to this Policy.

If any term in this Policy conflicts with our Terms of Service regarding subscription-specific matters, this Policy controls.


2. SUBSCRIPTION OFFERINGS

We offer the following subscription products:

2.1 Tummy Gummies™ (Digestive Wellness Supplement)

- Billing frequency: Every 30 days

- Recurring price: $33.99 USD per shipment (often + shipping)

- Free trial included with eligible purchases: When you purchase Potty Training Underwear, your order includes a free first bottle of Tummy Gummies. Your subscription begins on the date of your order, and you will be charged $33.99 every 30 days starting 30 days after your order date, unless you cancel before that first rebill.

2.2 General Subscription Authorization

By subscribing, you authorize us to automatically charge your payment method for future shipments at the frequency and price selected at checkout. Subscriber pricing or perks (where advertised) apply only for the duration of your active subscription.


3. FREE TRIAL AND CONVERSION TO PAID SUBSCRIPTION

3.1 How the Free Trial Works

When you purchase a qualifying product (e.g., Potty Training Underwear) that includes a Tummy Gummies free trial:

  1. The first bottle of Tummy Gummies ships with your order at no additional cost.
  2. No charge for Tummy Gummies appears on your initial order — the gummies are included free.
  3. 30 days after your order date, you will be automatically charged $33.99 for your next bottle of Tummy Gummies, which will be shipped to your address on file.
  4. Every 30 days thereafter, you will be charged $33.99 and a new bottle will be shipped, until you cancel.

3.2 Cancelling Before You Are Charged

You can cancel your Tummy Gummies subscription at any time before the first 
rebill (within the 30-day free trial window) at no cost and with no further 
charges.

To cancel before the first rebill:

If you cancel before your free first bottle of Tummy Gummies has shipped, we reserve the right to remove the gummies from your order. Any other items will ship as normal. If your free first bottle has already shipped at the time of cancellation, it is yours to keep at no charge.

3.3 One Trial Per Household

Only one Tummy Gummies free trial may be redeemed per household, unless otherwise stated in a specific promotion.


4. BILLING AND PAYMENT

4.1 Recurring Charges

  • Your subscription is billed to the payment method on file on a recurring 30-day cycle (or other cycle as selected at checkout)
  • You will receive an order confirmation email upon each successful billing
  • Pricing is in your local currency, based on location.

4.2 Pre-Renewal Notification

We will email you a renewal reminder 3–5 days before each rebill, including:

  • The amount you will be charged
  • The exact date of the upcoming charge
  • A direct link to manage, skip, or cancel your subscription

This notification is sent automatically. Please ensure your email on file is current.

4.3 Failed Payments

If a payment fails (e.g., expired card, insufficient funds):

  • We will attempt to retry the charge up to 3 times over 7 days
  • We will email you about the failed payment with instructions to update your payment method
  • After 7 days of unsuccessful retries, your subscription will be automatically paused
  • Shipments will resume only after a successful payment

4.4 Price Changes

We may change subscription pricing from time to time. We will notify you by email at least 30 days before any price change takes effect. You may cancel before the new price applies if you do not wish to continue.


5. SHIPPING AND DELIVERY

  • Subscription shipments are processed and dispatched within 3 business days of each billing date
  • Shipping times follow our general Shipping Policy
  • Shipping costs (if any) for subscription shipments are charged at the time of each rebill
  • You can update your shipping address at any time via the Customer Portal

6. MODIFYING OR CANCELLING YOUR SUBSCRIPTION

6.1 Self-Service Management

You can manage your subscription at any time via the Customer Portal at: https://www.upairy.com/a/loop_subscriptions/customer

Through the portal you can:

  • Skip an upcoming shipment
  • Pause your subscription
  • Change delivery frequency
  • Update your shipping address or payment method
  • Cancel your subscription

6.2 Cancellation

You may cancel your subscription at any time before the next billing cycle without penalty or fee. Cancellation is effective immediately:

  • No further charges will be applied after cancellation
  • You will retain any unshipped credit balance, where applicable
  • Cancellation requires only the actions described in Section 6.1 — no phone call, no chat session, no in-person interaction, and no negotiation is required to cancel

6.3 Alternative Cancellation Methods

If for any reason you are unable to use the Customer Portal, you may cancel by:

  • Emailing hello@upairy.com with the subject "Cancel Subscription" and your order number
  • We will confirm cancellation within 1 business day

6.4 Cancellation Confirmation

Upon cancellation you will receive a confirmation email. If you do not receive this email within 24 hours, please contact us at hello@upairy.com.


7. REFUNDS AND RETURNS

7.1 First Order (Including Free Trial Bottle)

  • If you are not satisfied with your initial Potty Training Underwear order, you may request a full refund within 75 days of receiving your order
  • The free first bottle of Tummy Gummies that shipped with the order is yours to keep at no cost
  • To request a refund, email hello@upairy.com with your order details

7.2 Subsequent Subscription Shipments (Rebills)

For Tummy Gummies subscription rebill shipments after the first free bottle:

  • Within 14 days of being charged: You may request a refund of the rebill charge by emailing hello@upairy.com. Refunds are issued to your original payment method.
  • Between 14 and 30 days of being charged: You may request store credit for the rebill charge.
  • After 30 days of being charged: Rebill charges are non-refundable.

7.3 Damaged or Incorrect Items

If any subscription shipment arrives damaged or incorrect, please contact us at hello@upairy.com within 7 days of delivery for a free replacement.

7.4 What Is Not Refundable

  • Shipping fees are non-refundable except where the error is ours
  • Subscription shipments delivered more than 30 days prior to your refund request
  • Products that have been opened and substantially consumed (more than 50% of the bottle used)

8. AUTO-RENEWAL AND TERMINATION

8.1 Auto-Renewal

All subscriptions renew automatically every 30 days until cancelled by the customer using the methods in Section 6. We will send pre-renewal email reminders as described in Section 4.2.

8.2 Our Right to Terminate

We reserve the right to terminate or pause any subscription at our discretion, including for:

  • Repeated failed payment attempts
  • Abuse of promotional offers (including multiple trial redemptions per household)
  • Violation of our Terms of Service
  • Fraud, suspected fraud, or chargeback patterns

Where we terminate your subscription, we will notify you by email and refund any prepaid amounts for shipments not yet dispatched.


9. REGIONAL RIGHTS

The following provisions apply where required by mandatory consumer protection law in your jurisdiction. These rights are in addition to, and not in place of, the general policy above.

9.1 United States — California Customers

In accordance with California Business and Professions Code §17600 et seq. (the Automatic Renewal Law / SB-313):

  • You consent to automatic renewal by placing your order
  • We provide the cancellation methods described in Section 6, which require no phone or in-person interaction
  • You will receive pre-renewal reminders as described in Section 4.2
  • We will email you within 1–3 days of any material change to subscription terms

9.2 United States — Other States

US customers retain all rights under applicable federal and state consumer protection laws, including the FTC Act and your state's unfair and deceptive practices statutes.

9.3 European Union & European Economic Area

In accordance with the Consumer Rights Directive (2011/83/EU):

  • You have the right to cancel your subscription within 14 days of your first order without giving any reason
  • To exercise this right, email hello@upairy.com or use the Customer Portal
  • Unused, unopened products may be returned for a refund of the product cost (you bear return shipping)
  • This 14-day right of withdrawal is in addition to your ongoing right to cancel at any time under Section 6

9.4 United Kingdom

In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Digital Markets, Competition and Consumers Act 2024 (DMCC):

  • You have the right to cancel your subscription within 14 days of your first order without giving any reason
  • Pre-contract information is provided on our product pages, at checkout, and in your order confirmation
  • Reminder notices are sent before each renewal (Section 4.2)
  • Cancellation is available via the methods described in Section 6

9.5 Australia

Australian customers retain all rights under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010), including the consumer guarantees in respect of product quality, fitness for purpose, and accurate description.

9.6 New Zealand

New Zealand customers retain all rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

9.7 Canada

Canadian customers retain all rights under the Consumer Protection Act of their province of residence and federal consumer protection law.


10. CHANGES TO THIS POLICY

We may update this Policy from time to time. Material changes — including changes to pricing, billing frequency, cancellation methods, or refund policy — will be communicated to active subscribers by email at least 30 days before taking effect. Continued use of your subscription after the effective date constitutes acceptance.
